1. Legal Advisory & Dispute Resolution (Property & Construction Focus)
- Provide strategic legal advice on property development, construction contracts, regulatory compliance, and dispute resolution (e.g., arbitration, litigation, mediation).
- Draft, review, and negotiate a wide range of construction-related agreements, including joint venture agreements, subcontracts, and procurement contracts.
- Manage legal risks in construction projects, including claims related to delays, defects, and payment disputes.
- Oversee external counsel in complex and high-value litigation or dispute matters.

2. Mergers & Acquisitions (M&A) & Corporate Transactions
- Lead and manage legal due diligence processes for M&A, divestments, and corporate restructuring.
- Draft, negotiate, and advise on transaction documents including SPAs, SHAs, investment and financing agreements.
- Ensure compliance with regulatory requirements, competition law, and manage post-transaction integration risks.
- Support capital market activities such as IPOs, private placements, and debt financings.

3. Corporate Governance & Compliance
- Ensure group-wide compliance with listing rules, governance codes, and applicable regulatory frameworks.
- Provide legal guidance to the Board and C-suite on directors' duties, ESG obligations, and corporate risk management.
- Develop and implement internal legal and compliance policies and training programs across the group.

4. General In-House Legal Support
- Manage corporate secretarial responsibilities, including board resolutions and shareholder meetings.
- Oversee matters related to intellectual property, employment law, data protection, and regulatory filings.
- Deliver practical legal training to business units and functional leaders.
- Qualified lawyer in a common law jurisdiction.
- 10 to 15 years of post-qualification experience (PQE), with a strong focus on construction law, dispute resolution, and corporate/M&A transactions.
- In-house legal leadership experience, ideally within publicly listed companies or large conglomerates.
- Proven ability to lead legal teams, manage external counsel, and influence senior stakeholders.
- Exceptional legal drafting, negotiation, and communication skills.
- Sound commercial judgment and strategic thinking, with the ability to work under pressure in a dynamic environment.
