Responsibilities
Summary
Support the Chief Legal Counsel in the following areas; contract development and management, contract documentation support, legal matter administration and other general corporate matters.
Key Responsibilities & Duties
General Corporate:
- Advise management with respect to legal issues related to the development and implementation of its business strategy, governance and compliance policies, employment law matters, intellectual property issues, and other issues as needed
- Provide legal advice and business counsel to the organization including research and interpretation of applicable statutes and regulations
- Draft, vet and negotiate all contracts and agreements entered into by the company
- Supervise and manage relationships with outside counsel
- Draft and maintain legal agreements and other legal forms utilized by the organisation
Investment:
- Advise management and investment team with respect to all legal issues related to an investment opportunity and to provide legal advice and business counsel in respect of such investments
- Coordinate and organize legal due diligence to be conducted in respect of any potential investment opportunities and to ensure the same is executed in a timely and efficient manner and to analyse and advise management as to the results of the due diligence and legal implications if any
- Advise and assist management and the investment team on structuring any potential investments and any other related issues
- Draft, vet and negotiate all letter of offers, contracts and agreements entered into by the company in respect of all such investments
- To provide the same functions as set out above in respect of any exits of investments.
Private Credit:
- Advise management and the private credit team on legal and structural aspects specific to private credit transactions
- Conduct legal due diligence focusing on borrower-specific and security-related legal risks
- Draft, review and negotiate credit agreements, security documents, intercreditor agreements and other loan-related documentation
- Provide legal guidance on regulatory compliance matters unique to private credit structures
- Coordinate with external counsel and advisors to ensure the timely and efficient execution of private credit transactions
- Monitor and update management on relevant legal and regulatory changes in private credit markets
- Advise on risk management and mitigation measures tailored to private credit investments
Company Secretarial
- Schedule & Convene BOD & Committee Meetings
- Coordinate and prepare all BOD and Committee papers and ensure the same are circulated to all BOD/Committee members in good time
- Prepare minutes of Board and Committee meetings
Policies & Procedures
- Develop or assist in the development of certain policies and procedures related to corporate governance and/or legal compliance issues
- Ensure effective compliance in respect of policies and processes developed
-Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken and ensuring all internal legal policies and guidelines are understood and properly implemented
-Liaise with external lawyers, accountants and third-party investors
-Assist in company secretarial duties for the company and its associated companies, including convening board meetings, taking minutes, statutory filing and maintaining company records
Requirements
- Second-class upper degree in Law from a top tier undergraduate university
- At least 5 to 7 years of relevant experience as in house legal from a reputable organization or in an established law firm handling major corporate clients.
- Experience in handling corporate transactions, particularly in the area of mergers & acquisitions and private credit transactions
- Draft, review and provide input in respect of all aspects of corporate transaction
- Negotiate certain contracts, advise on risk and other structural issues and be able to propose solutions or alternatives and be commercially orientated
- Assist senior management in corporate transactions and provide general corporate advisory work
- Good communication, verbal and written skills
- Liaise effectively with external lawyers for management of general legal transactions and legal costs.
- Knowledge of corporate law and experience in regulated investment funds will be an advantage.
