Our client is a Malaysia-based real estate investment trust (REIT) established with the principal investment policy of investing, directly and indirectly, in a portfolio of income-producing real estate used primarily for retail purposes. Compliance:
1. Draft, prepare, comment, review and finalise the compliance policies and any documents required for the compliance of data privacy, anti-corruption, anti-bribery, and REIT regulations.
2. Identify and analyse compliance risks, with a focus on data privacy, anti-corruption and anti-bribery, as well as carry out measures to monitor and mitigate risks.
3. Develop and continuously review the regulatory and compliance process, standards and controls to ensure they remain up-to-date and meet current statutory and regulatory requirements.
4. Design, conduct and deliver trainings on compliance topics to improve adherence to data privacy, anti-corruption, anti-bribery and REIT regulations and regulatory process.
5. Effectively communicate the regulatory compliance requirements to the leasing and operation teams and implement programs and initiatives to ensure awareness of compliance topics both internally and externally.
6. Ensure compliance with all relevant regulations and requirements set by regulatory bodies, such as the Companies Commission of Malaysia, Bursa Malaysia Securities Berhad and the Securities Commission.
7. Understand and keep abreast of changes to relevant laws and regulations, which include, without limitation, the Companies Act 2016, Bursa Malaysia Main Market Listing Requirements, the Guidelines on Listed Real Estate Investment Trusts, and the Malaysian Code on Corporate Governance.

Secretarial:
1. Arrange, manage and coordinate meetings of the board of directors, board committees and other relevant meetings.
2. Assist in the preparation of minutes of meetings, notices of meetings, agenda and the compilation and circulation of relevant papers.
3. Manage, handle and update the Risk Registers on a quarterly basis.
4. Review, comment and finalise the board of director resolutions, bursa announcements, due diligence planning memorandum and verification notes.
5. Review, comment, verify and finalise the corporate information and the relevant reports and contents for the annual report.

ESG:
1. Assist in the implementation of ESG Framework and Roadmap.
2. Assist in ESG initiatives, activities, issues and way forward.
3. Monitor and collect ESG database or initiatives and update on quarterly or as-needed basis.
4. Manage ESG questionnaires and liaise with external parties in relation to respective ESG requirements and/or ESG rating outcomes.
5. Review, comment, verify and finalise annual Sustainability Report.
6. Assist in organising briefing, seminars, roadshows, activities and inputs on ESG for publication, promotion and awareness among the stakeholders.
7. Incorporate sustainability practices into operation strategies, and coordinate stakeholder engagement on sustainability matters.
8. Stay abreast on the standards, guidelines and requirements required for the ESG reporting as well as ESG outlook.

General:
1. Report directly to the Head of Department.
2. Undertake ad-hoc duties as and when assigned by the Head of Department and/or the management of REIT Manager.
1. At least second upper class in Bachelor of Laws degree (second lower class under University of London International Programme may be considered).
2. Outstanding academic results will be advantageous.
3. Admitted to the UK and/or Malaysian Bar.
4. Working experience of at least 3 to 5 years as an in-house compliance counsel.
5. Experience in the internal audit and/or ESG will be advantageous.
6. Meticulous, diligent and attention to detail.
7. Fluent in English and Bahasa Malaysia with the ability to draft legal documents, compliance policies and day-to-day correspondences clearly and concisely.
8. Strong analytical and problem-solving skills.
9. Solid time management and organisation skills.
10. Ability to thrive in a fast-paced environment and work independently with minimal supervision.
11. Able to prioritise workload and manage conflicting priorities to meet deadlines.
12. Possesses good working logic without requiring explicit instructions for routine matters.
13. Proficiency in basic legal procedures and common-sense approach.
14. Competency in interpersonal skills and collaborative attitude.
